EDIT: forgot to mention, that if you're a Qt/KDE guy, there's an excellent KDE app (http://www.kde-apps.org/content/show.php?content=29024), though I can't testify as to its tag-transferring capabilities. You'd have to test it.

I can't remember if K3b preserves tags or not, but it's worth a shot.

But personally I've always used transKode w/ the Amarok plugin
